Terms of Service

1. Acceptance of Terms

By accessing or using Niovex at niovex.io (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service. These Terms apply to all visitors, users, and others who access the Service.

Niovex is operated by Innova RE IT Services ("Company", "we", "us", or "our").

2. Description of Service

Niovex is an AI-powered document screening tool that allows users to:

• Connect a Google Drive folder and index its documents.
• Ask natural-language questions about the indexed documents.
• Screen documents against a checklist of requirements with Pass / Flag / Missing results and cited evidence.

The Service uses Google OAuth to authenticate users and Google Drive API to access documents. Niovex is a decision-support tool — results should be reviewed by qualified humans before acting on them.

3. Account Registration and Eligibility

To use Niovex, you must sign in with a Google account. By signing in you represent that:

• You are at least 18 years of age.
• You have the legal authority to agree to these Terms on behalf of yourself or any organization you represent.
• You have the right to grant Niovex access to the Google Drive documents you connect.
• The documents you connect do not infringe on any third party's rights.

Access to Niovex is currently by invitation or whitelist only during the pilot period. We reserve the right to refuse or revoke access at our discretion.

4. Google Drive Access and Permissions

By connecting a Google Drive folder, you authorize Niovex to:

• Read the contents of files in that folder using read-only Drive API access.
• Store encrypted text extracts and vector embeddings derived from those files.
• Periodically re-read files to update the index when changes are detected.

You may revoke Drive access at any time through your Google Account permissions. Revoking access will prevent re-indexing but previously indexed data will remain until you request deletion.

You are solely responsible for the content of documents you connect to Niovex. You warrant that you have the right to share those documents with the Service.

5. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law or regulation.
• Upload or index documents containing illegal content.
• Infringe the intellectual property rights of others.
• Attempt to probe, scan, or test the vulnerability of the Service.
• Interfere with or disrupt the integrity or performance of the Service.
• Access the Service through automated means other than through the provided interface.
• Reverse engineer, decompile, or disassemble any part of the Service.
• Resell, sublicense, or commercialize the Service without our written consent.

6. AI-Generated Results — Important Limitations

Niovex uses AI (including large language models and vector search) to analyze documents and generate results. You acknowledge that:

• AI results may contain errors, omissions, or inaccuracies.
• Niovex is a screening assistance tool, not a substitute for professional legal, compliance, or HR judgment.
• Results should be reviewed by qualified humans before making decisions.
• We make no warranty that any result is accurate, complete, or legally sufficient.

7. Intellectual Property

The Service and its original content (excluding documents you connect), features, and functionality are and will remain the exclusive property of Innova RE IT Services. The Service is protected by copyright, trademark, and other intellectual property laws.

You retain full ownership of all documents and content in your Google Drive. By connecting your Drive to Niovex, you grant us a limited, non-exclusive license to process those documents solely for the purpose of providing the Service to you.

8. Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated by reference into these Terms. Please review it carefully.

9. Termination

We may terminate or suspend your access to the Service at any time, with or without cause or notice. You may stop using the Service at any time. Upon termination:

• Your right to use the Service ceases immediately.
• We will delete your stored data within 30 days upon request.
• Provisions of these Terms that by their nature should survive will remain in effect.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT RESULTS WILL BE ACCURATE OR RELIABLE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, INNOVA RE IT SERVICES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will post the updated Terms with a revised date. Continued use of the Service after changes constitutes your acceptance of the new Terms.

13. Governing Law

These Terms are governed by the laws of the Republic of the Philippines, without regard to its conflict of law provisions. Any disputes shall be resolved through binding arbitration or in the courts located in the Philippines.
